We provide web design, web development, WooCommerce development, digital marketing, SEO, content writing, and website maintenance services to clients in India and internationally.

Acceptance of Terms

By accessing or using our website, requesting a quote, signing a project proposal, making a payment, or engaging our services in any form, you confirm that you have read, understood, and agreed to these Terms & Conditions in full.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to update or modify these Terms at any time. The most current version will always be available on this page. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms.

Services

Hopeleaf Technologies provides the following services, as agreed upon in individual project proposals or service agreements:

Project Proposals & Agreements

All work commences based on a written project proposal or statement of work (‘Proposal’) provided by Hopeleaf Technologies and accepted by the Client. The Proposal outlines the scope of work, deliverables, timeline, and pricing.

A project is considered confirmed when the Client provides written acceptance of the Proposal (via email or electronic signature) and pays the required deposit. Verbal agreements or informal communications do not constitute a binding project agreement.

Any requests to add features, pages, functionality, or tasks not included in the original agreed Proposal (‘Scope Changes’) will be subject to additional cost and timeline adjustments. Scope changes must be agreed in writing before work begins on the additional items.

Payment Terms

Unless otherwise agreed in the Proposal, our standard payment structure is as follows:

Payment Methods & Currency

We accept payments via bank transfer, Wise (TransferWise), PayPal, and Razorpay. Payment can be made in INR, USD, AUD, EUR, or GBP depending on the client’s location and agreement.

All prices quoted are exclusive of applicable taxes unless otherwise stated. Clients based in India are subject to GST as applicable under Indian law.

International clients are responsible for any bank transfer fees, currency conversion charges, or payment platform fees on their end.

Late payments may result in work being paused until the outstanding balance is settled. Hopeleaf Technologies reserves the right to charge interest on overdue invoices at a rate of 2% per month.

Revisions & Change Requests

Each project includes a defined number of revision rounds as stated in the Proposal. Revisions within scope refer to changes to existing agreed-upon elements — they do not include new features, new pages, or alterations to the fundamental design direction.

Revisions that fall outside the agreed scope — including design direction changes after approval, addition of new sections, or feature requests not in the original brief — will be treated as Scope Changes and quoted separately.

All revision requests must be submitted in writing (email or project management tool). Verbal revision requests will not be actioned until confirmed in writing.

Client Responsibilities

The Client is responsible for providing Hopeleaf Technologies with all necessary content, materials, and approvals in a timely manner. This includes but is not limited to:

Project Timelines

Project timelines are estimated based on the agreed scope and are set out in the Proposal. Timelines are contingent on timely receipt of all required content, materials, and approvals from the Client.

Delays caused by the Client — including late content delivery, delayed approvals, or changes to the project brief — will extend the project timeline accordingly. Hopeleaf Technologies is not liable for delays resulting from Client-side factors.

If a project is paused by the Client for more than 30 days, it will be treated as inactive. Re-activation of an inactive project may incur a re-activation fee and a revised timeline.

Intellectual Property & Ownership

Upon receipt of full and final payment, the Client receives full ownership of all custom design assets and website files created specifically for their project. This includes Figma design files, custom graphics, and the WordPress website build.

Third-party assets used within the project — including licensed stock photography, premium WordPress themes, purchased plugins (including Elementor Pro), and licensed fonts — remain subject to their respective third-party licence terms. Ownership of such assets does not transfer to the Client.

Hopeleaf Technologies retains the right to display the completed project in its portfolio, on its website, and in marketing materials, unless the Client explicitly requests otherwise in writing before project completion.

Hopeleaf Technologies retains ownership of any pre-existing code, design frameworks, templates, or tools developed independently and used within the project (‘Background IP’). Such Background IP is licensed to the Client for use in the delivered project but is not transferred to the Client.

Confidentiality

Both parties agree to treat as confidential any non-public information received from the other party in connection with a project (‘Confidential Information’).

Hopeleaf Technologies will not disclose Client business information, strategies, or data to third parties without prior written consent, except where required by law or necessary to fulfil the agreed services (e.g., sharing content with a hosting provider).

The Client agrees not to disclose Hopeleaf Technologies’ proprietary processes, pricing, or internal methodologies to third parties.
This confidentiality obligation remains in effect for a period of two years after the completion or termination of the project.

Warranties & Representations

Hopeleaf Technologies warrants that:

Limitation of Liability

To the maximum extent permitted by applicable law, Hopeleaf Technologies’ total liability to the Client for any claim arising out of or in connection with a project or these Terms shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

Website Maintenance & Post-Launch Support

Unless a maintenance retainer is agreed and paid, Hopeleaf Technologies’ obligations end at project handover. We provide 30 days of complimentary bug fixing on all new build projects, covering issues directly related to the delivered work.

After the 30-day post-launch period, any support, maintenance, updates, or modifications will be charged at our prevailing hourly rate or covered under a separate maintenance retainer agreement.

Hopeleaf Technologies is not responsible for issues arising from Client-made changes to the website after handover, including modifications to Elementor layouts, plugin configurations, or WordPress settings.

Cancellation & Refund Policy

If the Client cancels a project after work has commenced, the following applies:

Third-Party Services & Platforms

Hopeleaf Technologies may recommend or use third-party platforms, tools, plugins, or services in the course of delivering a project — including WordPress, Elementor Pro, WooCommerce, RankMath, WP Rocket, Cloudflare, Google Analytics, Google Ads, Meta Ads, and others.

Hopeleaf Technologies is not affiliated with, endorsed by, or responsible for the performance, availability, pricing, or terms of any third-party platform or service. The Client’s use of third-party services is governed by those services’ own terms and conditions.

Premium third-party licences required for a project (e.g., Elementor Pro, premium themes, paid plugins) will be specified in the Proposal. Licence costs and ongoing renewal costs are the responsibility of the Client unless otherwise agreed.

Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Surat, Gujarat, India.

For international clients, Hopeleaf Technologies will make reasonable efforts to resolve disputes amicably before resorting to legal proceedings. Both parties agree to attempt mediation in good faith before initiating formal legal action.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement

These Terms & Conditions, together with any signed project Proposal or service agreement, constitute the entire agreement between Hopeleaf Technologies and the Client with respect to the subject matter hereof. They supersede all prior discussions, representations, and agreements.
